Contract and Order Formation

All purchases are agreements between the customer and iNovio Homes. Product details shown online or shared via phone, email, or chat are invitations to buy, not binding offers.

An order is created when the customer completes payment online or confirms by phone, chat, or email. Any errors must be reported within 24 hours; otherwise, the customer accepts responsibility for discrepancies.

iNovio Homes may cancel orders based on pricing or technical errors. A binding contract exists only once products are shipped. In case of cancellation, customers will be notified and refunded per our policy.

1. General Provisions

1.1 Availability of Goods – While iNovio Homes LLC endeavors to ensure that all products displayed on its website may be available for order or pre-order, no warranty of availability is provided. All published product listings shall be construed solely as an invitation to treat and shall not constitute a binding offer.

1.2 Product Specifications – All dimensions, weights, and measurements are approximate and are provided for reference purposes only. Variations may occur without notice.

1.3 Assembly Requirements – Certain products may necessitate full or partial assembly. It is the sole responsibility of the Customer to ascertain such requirements prior to purchase.

1.4 Representation of Colors – Product colors are reproduced as accurately as reasonably possible; however, variations may arise due to photographic processes, manufacturing tolerances, or display configurations.

1.5 Risk and Title – Risk of loss, damage, or deterioration of the goods shall transfer to the Customer immediately upon delivery to the address specified in the order. Title to the goods shall not pass to the Customer until full payment has been received and cleared by iNovio Homes LLC.

1.6 Limitation of Liability – iNovio Homes LLC shall not, under any circumstances, be liable for consequential or indirect losses suffered by the Customer, including but not limited to loss of profit, business interruption, wasted time, anticipated savings, or loss of opportunity. This exclusion shall not extend to liability for death or personal injury arising from negligence.

1.7 Entire Agreement – These Terms constitute the entire contractual understanding between the Customer and iNovio Homes LLC and shall supersede all prior representations, communications, or agreements, whether oral or written.

1.8 Amendments – iNovio Homes LLC reserves the unilateral right to amend, revise, or supplement these Terms at any time without prior notice. The most recent version, as published on the website, shall supersede all previous versions.

1.9 Waiver – Any failure or delay by iNovio Homes LLC in exercising its rights under these Terms shall not be construed as a waiver thereof.

1.10 Severability – If any provision of these Terms is deemed invalid or unenforceable, such provision shall, to the maximum extent permissible, be modified to reflect the original intent. If modification is not possible, the provision shall be severed without affecting the enforceability of the remaining provisions.

1.11 Assignment and Third Parties – The Customer shall not assign, delegate, or subcontract any rights or obligations under these Terms without the prior written consent of iNovio Homes LLC. No third party shall have any right to enforce these Terms under any applicable law.

1.12 Governing Law and Jurisdiction – These Terms, and any dispute arising out of or in connection therewith, shall be governed exclusively by the laws of the United States of America. The courts of the United States shall have exclusive jurisdiction to adjudicate any such disputes.

2. Events Outside Our Control

2.1 iNovio Homes LLC shall bear no liability for any delay, disruption, or inability to perform its obligations under these Terms where such failure arises from conditions beyond its reasonable control. Such conditions may include, without limitation, natural disasters, armed conflicts, public disturbances, strikes or labor disputes, government actions or restrictions, epidemics, utility or network failures, or any event that makes performance illegal, unfeasible, or commercially unreasonable.

3. Prices

3.1 Product prices listed do not include delivery costs unless expressly indicated. Any applicable delivery fees will be displayed at checkout once the Customer provides the required delivery details, and prior to the submission of payment information.

3.2 Promotional or sale pricing is valid only for the duration of the stated offer period. Orders submitted outside the specified timeframe will be charged at the standard prevailing price.

4. Payment

4.1 Payment for products offered by iNovio Homes LLC must be made using one of the methods listed on our website. Specific terms and conditions relating to the chosen payment method, including security and privacy, are governed by the relevant payment provider.

4.2 Payment will be charged to the Customer’s account at the time an order is submitted. All orders are subject to product availability. If we are unable to supply the goods ordered, the Customer will be notified at the earliest opportunity.

4.3 The applicable price is the amount displayed on our website at the time the order is received. While every effort is made to ensure accuracy, pricing errors may occasionally occur. If an incorrect price is identified, the Customer will be contacted and offered the choice of proceeding with the order at the correct price or canceling the order in full. If the Customer cannot be reached, or fails to respond within a reasonable timeframe, the order will be treated as canceled. In the event of cancellation, any payment already made will be refunded in full.

4.4 Legal title to the goods shall pass to the Customer upon successful delivery, provided full payment has been received and cleared by iNovio Homes LLC.

5. Permitting

5.1 iNovio Homes LLC, acting solely as the manufacturer and distributor, does not assume responsibility for securing permits, approvals, or any other site-specific authorizations that may be required for the installation of its products.

5.2 It is the sole responsibility of the Customer to determine whether local, municipal, state, or community regulations — including but not limited to building codes, zoning ordinances, or homeowners’ association (HOA) requirements — apply to the installation, and to obtain any necessary approvals at their own expense.

6. Risk-Free Orders

6.1 Purpose – The Risk-Free Order option allows customers to temporarily secure pricing or a place in line while finalizing necessary approvals or details. This option applies in the following cases:

• Customer is waiting on HOA approval and wants to lock in pricing.

• Customer needs to confirm color, size, or accessories with significant other.

• Customer is not currently at the delivery address and needs to visit the site to confirm specs or measurements.

6.2 Exclusions – This option does not apply to customers who:

• Wish to delay delivery to a future date.

• Are waiting for backyard completion before accepting delivery.

• Do not currently have space to store the pergola.

6.3 Risk-Free Order Process – Customers must place a Risk-Free Order through the iNovio Homes Sales Team. The Sales Team will generate a draft order including a $100 non-refundable ‘Reserve Now’ fee. Customers must pay the $100 fee immediately to secure their order. The remaining balance must be paid within 48 hours of the product being available for shipment. If the product is in stock, full payment is required within 24 hours. Orders will be canceled after 7 days if full payment is not received. By using the Risk-Free Order option, you agree to these terms.

7. Buy Now – Ship Later

7.1 Service Overview – The "Buy Now and Store" option allows customers to purchase a pergola and have it securely stored for up to six (6) months before delivery.

7.2 Storage Period – The maximum storage duration under this service is six (6) months from the date of purchase. If the pergola cannot be received within the six-month period, additional arrangements must be made, and additional fees will incur.

7.3 Storage Fees – A storage fee of $150 per month will be charged for the duration of the storage period. Storage fees are non-refundable and will be calculated on a monthly basis starting from the date an order is ready to ship.

7. Delivery Coordination

7.1 Following the placement of an order, a representative of iNovio Homes LLC will contact the Customer within a reasonable period to arrange and confirm an appropriate delivery time frame.

7.2 It is the Customer’s obligation to ensure that they, or an authorized recipient, are available at the agreed delivery location and time. Failure to do so may result in additional delivery charges, delays, or rescheduling, for which iNovio Homes LLC accepts no liability.

8. Retention of Title

8.1 Legal ownership of the goods shall remain vested in iNovio Homes LLC until full payment has been received and cleared.

8.2 Until such time as payment has been received in full, the Customer shall hold the goods as bailee and shall ensure they are stored safely, remain identifiable as the property of iNovio Homes LLC, and are not pledged, transferred, or otherwise encumbered.

9. Warranty (Comprehensive Limited Warranty Program)

9.1 Scope of Coverage – iNovio Homes LLC extends to the original purchaser a limited warranty program consisting of the following:

• Ten (10) Years – Structural elements, including but not limited to columns, base plates, and beams.

• Five (5) Years – Movable or mechanical components, including louvers, hand cranks, and associated operating mechanisms.

• Two (2) Years – Electrical parts and ancillary accessories.

9.2 Commencement of Warranty – The warranty period shall begin upon delivery of the product. The original purchase invoice shall constitute the warranty certificate and must be retained as proof of eligibility.

9.3 Applicability and Limitations – This warranty is strictly limited to the first purchaser and is valid solely within the United States and Canada. It is non-transferable. The remedy under this warranty shall not exceed the original purchase value of the goods or, at the sole discretion of iNovio Homes LLC, the provision of replacement parts. The cost and execution of installation or reinstallation of such parts remain the sole responsibility of the Customer.

9.4 Exclusions – The warranty shall not apply in the following instances:

• Damage caused by environmental factors or natural disasters, including but not limited to severe weather conditions, sun exposure, or fading, where such occurrences fall outside iNovio Homes’ engineering standards.

• Misuse, negligence, unauthorized modifications, or improper installation practices.

• Application of abnormal loads or other forms of incompetent use.

• Installation conducted on unstable or unsuitable surfaces.

• Delay of installation exceeding twelve (12) months from the date of purchase.

• Normal wear-and-tear, including scratches, surface blemishes, or fading attributable to usage.

• Corrosion or rust originating internally within steel components due to condensation.

• Damage caused by aggressive chemicals or substances.

• Insufficient or improper maintenance.

• Electrical components beyond the two-year period.

• Ancillary expenses, including but not limited to shipping, disassembly, storage, or related logistics.

9.5 Claims Procedure – Any claim under this warranty must be submitted in writing within thirty (30) days of the discovery of the defect. Submissions must include: (a) a copy of the purchase invoice, (b) photographic evidence of the alleged defect, and (c) correspondence sent to warranty@inoviohomes.com. Upon approval, iNovio Homes LLC shall respond and, where applicable, provide resolution within thirty (30) days.

9.6 Reservation of Rights – iNovio Homes LLC reserves the right to suspend or deny warranty services in the event of any outstanding financial obligations owed by the Customer.

10. Liability

iNovio Homes LLC accepts full responsibility for damages caused by us, our representatives, or agents in cases of injury, intentional or gross negligence, warranty breaches, or where product liability laws apply. For minor negligence involving essential contractual duties, our liability is limited to predictable damages typical for such agreements. This excludes referral partners and shipping carriers.

11. Product Damage Resolution

We will address damages caused by material defects if the product was assembled following the provided instructions, reasonable steps were taken to protect it from weather, and the buyer verified all parts were complete before starting assembly. Damage caused during assembly due to obvious defects is not covered under warranty.

12. Third-Party Installation

Before hiring an outside installer, customers must confirm all parts are delivered and undamaged. iNovio Homes LLC is not responsible for delays, extra costs, or damages resulting from incomplete deliveries or installation by third parties.

13. Shipping Damage and Delivery Refusal

13.1 If goods arrive with visible shipping damage, the Customer must inform the carrier right away and contact iNovio Homes LLC customer support. While not reporting such damage will not affect legal rights, it helps us resolve claims with the carrier and assist Customers faster.

13.2 If delivery is refused without visible damage noted, the Customer will be responsible for any extra costs related to re-delivery or refusal.

14. Shipping Policy

14.1 Delivery Area – Orders can only be shipped to addresses within the continental United States. Deliveries to Hawaii, Alaska, or international locations require a separate agreement with iNovio Homes LLC.

14.3 Delivery Timing – We make reasonable efforts to deliver products within the estimated timeframe and on the agreed date. However, unforeseen circumstances may cause delays. Product availability is subject to change, and iNovio Homes LLC cannot be held liable for late or missed deliveries.

14.4 Inspection of Goods – Customers should inspect all products within seven (7) days of delivery. Any defects, damages, missing parts, wrong items, or other issues must be reported to iNovio Homes LLC within this period. Risk of loss or damage passes to the Customer at the time of delivery.

14.5 Accuracy of Delivery Information – Customers must provide complete and correct delivery information, including the recipient’s full name and address. iNovio Homes LLC is not responsible for delivery problems caused by incorrect or incomplete information. Certain shipments may require a signature upon receipt.

15. Complaints

If a product is found to be defective, the Customer may exercise their statutory warranty rights. For assistance, contact customerservice@inoviohomes.com.

16. Cancellation Policy

16.1 Free Cancellation – Orders may be canceled at no cost if canceled within three (3) days of placement.

16.2 Cancellation Fee – Orders canceled after the initial three (3) days are subject to a fifteen percent (15%) cancellation fee. If the product has already been shipped, additional costs for return shipping and restocking will apply, as detailed in the Return and Refund sections below.

17. Refund Policy

17.1 Inspection Requirement – Customers must inspect all items within seven (7) days of delivery. Any issues, including damages, defects, incorrect items, missing parts, or unsuitability, must be reported to iNovio Homes LLC within this period. Approved refunds or claims will be processed within 1–10 business days.

17.2 Conditions for Full Refund – A full refund will be issued if the product is unavailable, an alternative is unacceptable, or a replacement product cannot be provided due to damage or defect. iNovio Homes LLC reserves the right to provide a replacement product when available instead of issuing a refund.

18. Return Policy

18.1 Full Pergola Returns – Orders canceled or returned after three (3) days are subject to a fifteen percent (15%) cancellation fee. The Customer is responsible for securely packaging and palletizing the pergola to ensure safe transport. Once the pergola leaves the Customer’s possession, all risk of damage or loss during transit is borne by the Customer and their selected carrier. Customers may use their own carrier or iNovio Homes’ shipping partner for return shipping. If iNovio Homes’ shipping partner is used, a shipping fee of $1,000 (continental U.S.) plus a $500 restocking fee will be deducted from the refund. Upon arrival at our facility, the pergola will be inspected. If it is in good, resellable condition, a refund—less applicable cancellation fees, restocking fees, and shipping costs—will be issued within 10 business days. If the pergola arrives damaged or in a condition that reduces resale value, iNovio Homes LLC may withhold part or all of the refund to reflect the diminished value. Returns are shipped at the Customer’s risk. Any damage occurring during return transit must be claimed directly with the carrier; iNovio Homes LLC is not responsible for transit-related damage.

18.2 Return Period – Returns must be initiated within thirty (30) calendar days from the date of delivery.

18.2 Restocking Fee for Orders in Transit – If a Customer requests cancellation of a pergola delivery that is already en route, a recall and restocking fee of $1,000 will apply to cover associated handling costs, in addition to the standard fifteen percent (15%) cancellation fee.

18.3 Changes to Orders in Transit – If a Customer requests modifications to a full pergola order already in transit, a $1,000 recall and restocking fee will be applied. The standard fifteen percent (15%) cancellation fee will not apply if the Customer places a new order for a pergola of equal or greater value.

18.4 Accessory Returns – Returns of accessories are accepted for a refund, provided the Customer covers all shipping costs associated with the return. Returned items will be inspected upon receipt, and deductions may be made for damage or a reduction in product value. Additional Notes: Glass walls and screens are considered freight items and are subject to higher shipping costs of $1,000. Only Customers of iNovio Homes LLC may return merchandise, and an original order number is required to process any return.

Custom Orders Policy

1. Overview – iNovio Homes LLC manufactures custom pergolas tailored to the Customer’s specifications, including size, finishes, features, and optional accessories. Due to the bespoke nature of these products, custom orders are treated differently from standard orders.

2. Order Confirmation and Cancellation – Once a custom pergola order is placed, the Customer has 3 days to cancel the order at no cost. After the 3-day window has passed, cancellations are not allowed, and custom pergolas cannot be returned under any circumstances. Customers are responsible for carefully reviewing all specifications before confirming the order.

3. Pricing and Payment – The price confirmed at the time of order is final. Full payment is required prior to production. Changes or modifications requested after the cancellation window may not be accommodated.

21. Tax Exemptions

Customers requesting federal or state tax exemptions must submit valid 501(c) documentation to accounting@inoviohomes.com prior to purchase. Tax exemptions cannot be applied retroactively to existing orders.

22. Final Provisions

These Terms constitute the entire agreement between the Customer and iNovio Homes LLC. For any matters not covered herein, the applicable laws of the State of Taxes shall apply.

Activating Your Warranty

Register your pergola within 30 days of delivery by emailing warranty@inoviohomes.com with proof of purchase.

Coverage

This warranty applies to the original purchaser in the USA and Canada and may include replacement parts, a replacement pergola, or a refund up to the original purchase price. Installation of replacement parts is the Customer’s responsibility.

Exclusions

The warranty does not cover damage caused by weather, natural disasters, or vandalism; misuse, unauthorized modifications, or overloading; installation errors or unstable surfaces; delayed installation (over one year from purchase); electrical accessories (covered separately for 2 years); additional labor, shipping, storage, or disassembly costs; normal wear and tear, scratches, or improper maintenance. Warranty benefits may be delayed if payments to iNovio Homes remain outstanding.

Filing a Claim

Report any defects within 30 days of discovery by emailing warranty@inoviohomes.com with a description of the problem, photos or videos, and proof of purchase. Approved claims will be handled within 30 days through repair, replacement, or refund.

Additional Notes

Warranty applies only to the original buyer. Remedies are determined at the discretion of iNovio Homes. This written warranty replaces any prior agreements and is governed by Delaware law.
